Terms and conditions for the use of the Member Area of One Planet Product Limited’s website
Please read these terms and conditions carefully, they contain important information about your rights and obligations.
Introduction: The website is operated by One Planet Products Limited, known as One Planet Products (OPP), a company limited by guarantee, no. 5796930. A part of our website is only accessible by entering a valid Username and Password (“login details”) provided by OPP, known as the “Member Area”. To access the Member Area, you must either be a registered member of OPP (a “Registered Member”) or someone who has been provided with login as a sub-user by a Registered Member or by OPP further to a request by a Registered Member (a “Guest Member”) or someone who has been provided with login details by One Planet Products for the purpose of a trial period (“Trial Member”). THESE TERMS AND CONDITIONS APPLY ONLY TO THE USE OF THE MEMBER AREA AND NOT TO USE OF OTHER PARTS OF OUR WEBSITE. By using or accessing the Member Area of our website, you agree to be legally bound by these terms and conditions of use as they may be modified and posted on our website from time to time. If you do not wish to be bound by these terms and conditions then you may not use the Member Area of our website.
Nature of our website: Our website provides information about sustainable construction products and materials. Registered and Guest Members who are based in the UK may be able to select and place orders for products and materials (the “Products”) with suppliers (the “Suppliers”).
Confidential Information: As a Registered Member or Guest Member, you must take all reasonable precautions to prevent the disclosure and unauthorised use of the following information: (a) your login details or those of any other Registered Member, Guest Member or Trial Member you come to know them; (b)any information which can only be accessed in the Member Area of the website, including all materials and information relating to the Products, such as (but not limited to) details of pricing and environmental credentials of Products. If you suspect that someone knows your login details, you should immediately contact us by email at enquiries@oneplanetproducts.com, by telephone at +44 (0)20 8404 4880 or by post at One Planet Products, BioRegional Development Group, BedZED Centre, 24 Helios Road, Wallington, Surrey, SM6 7BZ, U.K. Your liability will cease in relation to actions after we receive notification. If unauthorised use of your login details is due to you acting without reasonable care, fraud, your disclosure to someone else or misuse, you will be liable for any loss caused. We reserve the right to suspend your access to the Member Area at any time at our discretion, including, but not limited to, if we suspect an unauthorised person is attempting to access your account.
Privacy policy: The following applies to any information you provide to us, for example during any registration or ordering process: (a)You authorise us to use, store or otherwise process any personal information which relates to and identifies you, including but not limited to your name and address (“Personal Information”), to the extent reasonably necessary to provide the services which are available through our website by us, our partners, successors (including the purchaser of the whole or part of our business), suppliers, associates, sub-contractors or other third parties; (b)You authorise us to use, store or otherwise process your Personal Information in particular, but not limited to, for the purposes of market, customer, product and website assessment and analysis to enable us to review, develop and improve our services and provide you and other users with relevant information about our services; (c)You must ensure that the Personal Information you provide is accurate and complete and that all ordering or registration details (where applicable) contain your correct name, address and other requested details. Cookies: We may use cookies (see definition below) for collecting user information from the website to allow us to assess the level of use of the site at any time. “Cookies” are information files created when you visit a site and contain a unique, anonymous number. They are stored in the cookie directory of your hard drive and do not expire at the end of your session. We may collect or store users’ Internet Protocol addresses (see definition below), which are automatically recognised by the webserver, and session information such as the duration of the visit and the type of browser used. Such information is only used where we use cookies and for system administration of the website and to compile statistics which we use to review use of the website where. Placing orders for products: As a Registered or Guest Member, you may be able to place orders for Products. Any order you make will be forwarded by OPP or automatically by the OPP website to the relevant Supplier, who should respond to you direct in relation to that order. If you decide to proceed with the purchase, the purchase transaction will then take place solely between you and the Supplier. We are not a party to the purchase transaction. A supplier is entitled to refuse any order placed by you. In relation to the content published on our website relating to the Products: (a) all such content, such as (but not limited to) details of prices and environmental credentials, is based on information provided by Suppliers or other third parties and is published in good faith; (b) we will do our best to ensure that all such materials and information are accurate; however, we do not (to the extent permitted by applicable law) accept responsibility for, or give any warranties as to the accuracy or otherwise of such content (whether published on or offline), including prices of Products which are subject to changes by Suppliers, and the use of such content; (c) all such content is provided on an “as is” basis and you assume total responsibility and risk for your use of or reliance on such information. You undertake that all details you provide to us for the purpose of placing an order to purchase goods from a Supplier which may be offered by us on our website will be correct.
Modifications to website: We reserve the right to make changes or corrections, alter, suspend or discontinue any aspect of our website or the content or services available through it, including your access to it. Unless explicitly stated to the contrary, any new features including new content and/or the sale of new Products shall be subject to these terms and conditions.
Applicability of online materials: We have used our best endeavours to ensure that our website complies with UK laws and we do not accept orders for Products from outside the UK. We make no representations that the materials on our website are appropriate or available for use in locations outside the UK. Those who view and/or use our website from other locations do so on their own initiative and are responsible for compliance with all applicable laws.
Linked sites: OPP make no representations whatsoever about any other websites which you may access through our website or which may link to our website. In addition, a link to any other website does not mean that OPP endorses or accepts any responsibility for the content, or the use of, such a website and OPP shall not be liable for any loss or damage caused or alleged to be caused by or in connection with use of or reliance on any content, goods or services available on or through any other website or resource.
Availability of our website: We will try to make our website available but cannot guarantee that our website will operate continuously or without interruptions or be error free and we can accept no liability for its unavailability. You must not attempt to interfere with the proper working of our website and, in particular, you must not attempt to circumvent security, tamper with, hack into, or otherwise disrupt any computer system, server, website, router or any other Internet connected device.
Liability: In accordance with the above paragraph on Placing Orders for Products, we accept no liability in relation to any rights, claims or otherwise which you may have in respect of any order made through our website for any Product or Products. In particular, we make no representations or warranties that: (a) the Supplier has the right to sell the Product to you; (b) the Product will correspond with the description provided on our website; (c) the Product will be of satisfactory quality; (d) the Product will be fit for any specific purpose for which you have bought it; or (e) the Product will be delivered to you in any particular way, on any particular date or subject to any particular conditions. We exclude all express or implied terms, conditions, warranties, representations or endorsements whatsoever with regard to any Products, our website or any information or service provided through our website. We accept no liability for any loss or damage arising out of or in connection with the viewing, use or performance of the Member Area of our website or its contents (except where we have been negligent), or for any indirect or consequential loss or damage, or for any loss of data, profit, revenue or business (whether direct or indirect) in each case, however caused, even if foreseeable, whether due to inaccuracy, error, omission or any other cause and whether on the part of OPP or our servants, agents or any other person or entity. If we are liable to you for any reason, our liability will be limited to the amount paid by you for the Product concerned. This limit does not apply to any liability we may have for death or personal injury resulting from our negligence or for our fraudulent misrepresentation. You are responsible for ensuring that your computer system meets all relevant technical specifications necessary to use our website and is compatible with our website. You also understand that we cannot and do not guarantee or warrant that any material available for downloading from our website will be free from infection, viruses and/or other code that has contaminating or destructive properties. The limitations and exclusions in this clause do not affect your non-excludable statutory rights and only apply to the extent permitted by applicable law.
General: We may assign, transfer, novate or subcontract any or all of our rights and obligations under these terms and conditions at any time. We may alter these terms and conditions from time to time and post or email to you the new version, or post it on our website, following which all use of the Member Area of our website will be governed by that version. You must check the terms and conditions on the website regularly. You acknowledge that you have not accepted these terms and conditions in reliance upon any statement, warranty or representation made by OPP or any other person and you irrevocably and unconditionally waive any rights to claim damages and/or to rescind these terms and conditions by reason of any misrepresentation (other than a fraudulent misrepresentation) that is not contained in the terms and conditions (including our privacy policy above). If any provision or term of these terms and conditions shall become or be declared illegal, invalid or unenforceable for any reason whatsoever, such term or provision shall be divisible from the other terms and conditions and shall be deemed to be deleted from them. These terms and conditions and your use of the Member Area of our website are governed by English law and you submit to the non-exclusive jurisdiction of the English court. Except in respect of a payment obligation, neither you nor OPP will be held liable for any failure to perform any obligation to the other due to causes beyond your or OPP’s respective reasonable control. Failure or delay by either party enforcing an obligation or exercising a right under these terms and conditions does not constitute a waiver of that obligation or right. These terms and conditions do not confer any rights on any person or party (other than you and/or us) pursuant to the Contracts (Rights of Third Parties) Act 1999.
Notices: All notices shall be given in writing: to us via e-mail at enquiries@oneplanetproducts.com or by post at One Planet Products, BioRegional Development Group, BedZED Centre, 24 Helios Road, Wallington, Surrey, SM6 7BZ, U.K.; or to you at either the e-mail or postal address you provide during any ordering process.
Duration and Termination: Term and termination: This agreement shall commence on the day it is executed and continue until notice is given by either party on seven days written notice to the other party in accordance with the terms of these terms and conditions, or until the termination of all agreements between One Planet Products and Registered Members’ who requested the Guest Member to be given access to the One Planet Products website. Effect of termination or expiration: (a)Access to the Member Area of the website will be terminated upon the termination or expiration of these terms and conditions. (b)Confidentiality obligations survive the termination or expiration of these terms and conditions. (c)Termination will be without prejudice to any rights of either party against the other which accrued prior to the time of termination or which otherwise relate to or may arise at any future time from any breach or non-observance of these terms and conditions which arose prior to the time of termination.
Replacement: These terms and conditions replace all other terms and conditions previously applicable to the use of the Member Area of our website and/or ordering of Products.
